Mayfair Mining & Minerals, Inc. (the “Company”), a Nevada corporation, has been listed on the Over-the-Counter Bulletin Board in the United States since August 2004. Since then, the Company principals have obtained financing for the proposed operations in Zambia, entered into a joint venture partnership and formed a private Zambian operating company. The Company’s principals have established good relationships with the Ministry of Mining in Zambia and the local community in the areas of proposed mining activities. The Company enjoys a balanced management team with many years of experience in geology and public company financing. We are an emerging mineral exploration and development company in an early growth stage, seeking to provide an opportunity for investors to participate in diversified projects and planned future growth.
The Company has attempted to create an attractive capital structure. Management has a strong commitment to work very diligently to create shareholder value through the planned acquisition and development of new gold and other precious metal and mineral deposits. We are completely focused on Africa, a continent with huge upside exploration potential and in many countries on the continent, increasingly friendly mining laws and regulations. We have a commitment and plan to limit exposure to any single metal price or country risk by seeking development of a broad portfolio of mining prospects in many countries, all within the Southern African Development Community (SADC). The management and Board of the Company enjoy strong relationships with many mining industry executives and Government agencies across the SADC, providing many opportunities to review, joint venture, partner or acquire potential mining projects.

ZAMBIA
Mayfair Mining & Minerals Inc., has entered into a Joint Venture Agreement with two Zambian corporations owned by the Nyendwa Family of Kafue, Zambia. Pursuant to the Agreement, the Company incorporated a new Zambian joint venture company - Mayfair Mining & Minerals (Zambia) Limited. The Board of Directors of the joint venture company are Clive de Larrabeiti, Michael Smith, and Julie Nyendwa. The new Zambian joint venture subsidiary is owned 70% by Mayfair Mining and Minerals (UK) Limited and 30% by the Nyendwa Family. Mayfair Mining and Minerals (UK) Limited is a wholly-owned subsidiary of Mayfair Mining & Minerals, Inc. In return for their 30% shareholding, the Nyendwa Family has transferred into the Zambian joint venture company, their licenses from the Zambian Government for three prospective mining projects.
The Nyendwa Family's companies have been in existence for 14 years, they have considerable experience in the Zambian mining industry and control gemstone and metals licenses in Zambia. Two gold licenses have been issued to the Nyendwa Family and one of those licenses, Funswe River, has been evaluated by both Zambian Geological Survey personnel and a European Commission team from the Centre for Development of Enterprise. The second license, Nansenga Stream, has been evaluated by Zambian Geological Survey personnel and has undergone a preliminary study by an EC appointed consultant. The third license, the Mapatizya Concessions in the Kalomo District of Zambia comprise a group of mining concessions near Lake Kariba, in the principal Zambian amethyst producing area.
MADAGASCAR
The Company also recently completed the acquisition of 51% of the outstanding shares of Union Prospection Miniere (UPM), a Madagascan private limited company. Under the terms of the agreement, Mayfair Mining has acquired control of 16 sapphire licenses covering an area of 1,487 square kilometres in the Ilakaka sapphire mining district in Southern Madagascar. One of the properties, the Ampasimamitaka sapphire mine, is an operating mine producing multi-coloured sapphire gemstones. As part of the agreement, Mayfair Mining has also acquired an option to purchase a gem dealing, polishing and cutting operation, Dream Stones Trading, based in Antananarivo, the capital of Madagascar. Dream Stones Trading deals in, polishes and cuts amethyst, tourmaline, emerald, aquamarine, sapphires and other precious and semi precious gemstones and produces jewellery quality stones for the world market.
As part of the transaction the Company also received a full geological and technical review of the sapphire properties prepared by ACA Howe International Limited.

| In a career spanning 24 years, Mr. de Larrabeiti has been involved in the financial industry and public equity markets, both in Europe and North America. He commenced his career in the financial industry as a stockbroker in Canada and continued subsequently in the City of London, marketing North American securities to European financial institutions and establishing the U.K. branch of a Canadian brokerage house, as Managing Director. More recently, he has served as a senior officer and director of a number of companies, including both resource and technology companies, and, as a consultant, advised other North American companies on their financial and project management. As the principal founding member of Mayfair Mining & Minerals, Inc., Mr. de Larrabeiti is currently bringing together a strong management team in an effort to build a successful mining company. During his career, Mr. de Larrabeiti has forged strong and lasting relationships throughout the international financial and mining communities and these relationships should assist the company as it grows and evolves. |

| Dr. Smith was awarded a First Class Honours Bachelors Degree in Geology from Durham University of the UK in 1965. He received a Phd in Geology from Strathclyde University of the UK in 1974. Dr. Smith is a Fellow of the Institution of Mining, Metallurgy and Materials of the UK, a Chartered Engineer of the Confederation of Engineering Institutions in the UK, a Euro Engineer of FEANI (Federation European Associations National Ingineurs), a Member of the Irish Association of Exploration Geologists and a Member of the Gemmological Association of the UK. |
| Since 1995 he has owned and managed Natural Resources Developments, a company based in the UK providing gold and precious stones consultancy to international clients and to agencies of the European Commission and the World Bank. During his career Dr. Smith has provided geological evaluations, reserves assessment and geological consultancy services to major corporations operating in Africa, Europe and North and South America. |

| Paul Chung received a Bachelor of Science (Geology) degree from the University of British Columbia in 1981. Mr. Chung also qualified as an MBA at Athabasca University, Alberta, Canada in 2001. During his career, Mr. Chung has served and advised as a private and public company director and CFO to a number of junior mining companies in North America. |
